Terms of Service

These Terms of Service (“Terms”) are an agreement between you and Varda LLC, doing business as Varda (“Varda,” “we,” “us,” or “our”), governing your use of vardapp.comand the Varda web application (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you represent that you are authorized to agree to these Terms on its behalf.

1. What Varda Does

Varda is software that provides small and medium-sized businesses with financial information and operational insights based on connected or uploaded financial data. It helps users review transactions for possible duplicates, errors, unusual activity, spending changes, and other items that may require review. You may connect eligible financial accounts through Plaid or upload supported files, including CSV, Excel, and QuickBooks files. Varda processes the financial data made available through those connections or files and applies detection rules, statistical checks, and AI-assisted analysis to surface items that may warrant your attention and answer questions about your business.

Connected-account access is read-only. Varda cannot initiate transfers, send payments, edit your bank accounts, or obtain your bank login credentials. Data availability and update timing depend on your financial institution, Plaid, and other service providers, so information in Varda may be delayed, incomplete, or temporarily unavailable and should not be treated as a real-time account ledger.

Varda provides information, not professional advice. The Service provides financial information and operational insights and does not provide accounting, tax, legal, or investment advice. It does not replace a CPA, bookkeeper, attorney, financial adviser, or other qualified professional. Varda does not make payments or business decisions for you. You remain responsible for reviewing your finances, verifying important findings, consulting appropriate professionals, and making your own decisions.

Results depend on the completeness, accuracy, categorization, and timing of the data made available to Varda. The Service may identify possible duplicates, unusual patterns, estimated savings, or other items that require your review, but it does not determine that fraud occurred, guarantee savings, or guarantee that every issue will be identified.

Varda presents summaries, classifications, calculations, estimates, and pattern-based review signals derived from the data available to the Service. The account owner or an authorized business representative remains responsible for confirming material figures, classifications, balances, and flagged activity against bank, card, accounting, and other source records before making a decision or taking action.

Review signals are not findings or allegations about an employee, vendor, customer, or other person. Before contacting a third party, changing access, withholding payment, terminating a relationship, reporting an incident, or taking another consequential action, you must independently confirm the underlying records and, where appropriate, verify payment instructions through a known and trusted channel.

Varda supplements and does not replace your internal financial controls, bank and card reconciliation, bookkeeping, fraud-prevention procedures, or professional review. The absence of a review signal does not mean that an account, transaction, person, or business is free from error, misuse, or fraud.

You retain ownership of the financial data, files, and other content you connect, upload, or otherwise make available to the Service (“Your Content”). You grant us a limited license to access, host, process, analyze, display, and use Your Content solely to provide, secure, maintain, and improve the Service, as described in our Privacy Policy.

You are responsible for ensuring you have the right to connect each account and provide Your Content, and that doing so does not violate any law or obligation you owe to a third party. You agree not to provide content that is unlawful or infringes the rights of others. You may disconnect a financial account at any time, although previously retrieved data may remain in the Service until you delete it or your account, subject to our retention obligations and Privacy Policy.

To the extent permitted by law, you retain ownership of Your Content. To the extent Varda has any rights in an AI-generated response produced specifically for you, Varda assigns those rights to you. AI-generated responses may not be unique, and other users may receive similar responses.

AI-Assisted Features

Ask Varda is an optional AI-assisted feature powered by OpenAI. When you submit a question, you direct Varda to send the relevant structured business context needed to generate an answer, as described in our Privacy Policy. The rest of the Service remains available if you do not use Ask Varda.

Varda does not use your financial data to train AI models. OpenAI does not use Varda’s API inputs or outputs to train its models unless Varda explicitly opts in. OpenAI may temporarily retain API content under its applicable data-retention and security policies, as described in our Privacy Policy.

AI-generated responses may be incomplete or inaccurate. They are provided for informational and operational insight purposes and do not constitute accounting, tax, legal, investment, or other professional advice. Ask Varda does not replace a CPA, bookkeeper, attorney, or financial adviser; cannot move money; and cannot make business decisions for you. Responses depend on the completeness and timing of the connected or uploaded data available to Varda. You remain responsible for reviewing answers, verifying important findings, and confirming any supported action before relying on it. Labels such as “based on connected data” or “calculated” describe the source or method; they are not a certification of accuracy by Varda.

5. Plans, Trials, and Payment

Paid plans, prices, included features, and billing intervals are shown when you enroll. If you begin a free trial, you authorize us to charge your selected payment method when the stated trial period ends unless you cancel before then. Paid subscriptions renew automatically for the billing interval you selected until canceled. You may cancel through Settings, and cancellation takes effect at the end of the current trial or paid billing period. Except where required by law, fees already paid are nonrefundable. We may change prices with advance notice, and any change will apply no earlier than your next renewal after that notice.

6. Third-Party Services

The Service relies on third-party providers, including Plaid for financial account connections, Stripe for payment processing, OpenAI for optional AI-assisted features, and our hosting and database providers. Your use of connected services may also be subject to their terms and privacy practices. We do not control and are not responsible for the availability, accuracy, delay, interruption, or practices of third-party services. A connection may stop working or require you to reconnect an account.

7. Service Availability and Changes

We are continually improving the Service and may add, change, or remove features at any time. We may also suspend or discontinue the Service, in whole or in part. We will try to give reasonable notice of material changes where practical, but we do not guarantee that the Service will always be available or uninterrupted.

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the above, Varda LLC does not warrant that the Service will detect all fraud, errors, or unusual activity, that its results will be accurate or complete, or that the Service will be uninterrupted, secure, or error-free. Any reliance you place on the Service’s output is at your own risk, and you are responsible for independently verifying important findings.

9. Limitation of Liability

To the maximum extent permitted by law, Varda LLC and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to your use of (or inability to use) the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless Varda LLC and its owners, employees, and suppliers from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, Your Content, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we reasonably believe it is necessary to protect the Service or other users. Upon termination, your right to use the Service ends. Sections that by their nature should survive termination (such as Disclaimers, Limitation of Liability, and Indemnification) will continue to apply.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in Michigan, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. If we make material changes, we will provide a more prominent notice. By continuing to use the Service after changes take effect, you agree to the revised Terms.
